Terms and Conditions - Exact Counter

1. By signing up for an account at ExactCounter.com, you acknowledge that you have read, understood and agree to our terms and conditions.
2. We reserve the right to change these terms and conditions without notice by posting the changes to our Terms and Conditions web page located on ExactCounter.com.
3. We reserve the right to terminate your account and remove your site and it's records from our database at any time for any reason without question.
4. You agree not to change the ExactCounter.com counter code that you will insert on your website except for changes specifically requested from ExactCounter.com.
5. We shall delete any accounts which are inactive and have not been accessed for 30 days.
6. You agree that if you change the counter code, ExactCounter.com may publish your website URL and any other information regarding your account on our Hall of Shame page.
7. You agree to receive email correspondences from ExactCounter.com.
8. The following types of sites are NOT allowed to register in ExactCounter.com: sites encouraging illegal activity, hatred or racism, sites that provide instruction or discussions about performing illegal activities, sites that promote or utilize software or services to deliver unsolicited email (SPAM), or any other sites that we deem to be inappropriate.
9. Users acknowledge and agree that their Web site information may be utilized by ExactCounter.com. These uses may include, but are not limited to, a directory listing web sites using our service, promotional uses, etc.
10. You agree to use our services at your own risk. Our services are provided on an "as is" basis. You agree that you have made your own decision and research regarding the using our service.
11. We are not liable for any damages, direct or otherwise, resulting from your use of the service, failure to provide service as advertised, suspension of service, or termination of service. We do not guarantee the uptime or availability of the service. You agree not to hold us responsible for anything related to use of this service.
12. We retain ownership and all rights to ExactCounter.com software, trade secrets, databases, reporting, logos, trademarks and the ExactCounter.com website.
13. If this agreement is terminated by either party for any reason, you agree to remove our counter code, and any other items referring to ExactCounter.com from your website(s).
14. YOU AGREE TO DEFEND, INDEMNIFY AND HOLD US HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY COSTS AND EXPENSES (INCLUDING BUT NOT LIMITED TO ATTORNEY'S FEES) ARISING FROM YOUR VIOLATION OF THIS AGREEMENT OR ANY THIRD-PARTY'S RIGHTS, INCLUDING BUT NOT LIMITED TO INFRINGEMENT OF ANY COPYRIGHT, VIOLATION OF ANY PROPRIETARY RIGHT AND INVASION OF ANY PRIVACY RIGHTS. THIS OBLIGATION SHALL SURVIVE ANY TERMINATION OF THIS AGREEMENT. OUR LIABILITY WILL NOT EXCEED THE PURCHASE PRICE OF THE SERVICES.
15. We own the data regarding visitors to your Web site that we collect. You can use the data we provide for any legal purposes. We will use the data in compliance with our privacy policy.
16. This Agreement will be construed and enforced in accordance with the laws of Canada without regard to its conflict of law principles. If legal action should arise for any dispute under this agreement, the venue for such dispute under this Agreement will be in Vancouver, British Columbia, Canada.
